4.2 Trademarks
The Chuys name, logo, taglines, and all related marks, names, and logos are trademarks or registered trademarks of Chuys. Nothing in these Terms shall be construed as granting any license or right to use any trademark, logo, or other proprietary mark without our prior written consent. Third-party trademarks appearing on the Site are the property of their respective owners.
4.3 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and its content solely for your personal, non-commercial use in connection with our Services. 5. Payment Terms
5.1 Pricing and Payment
All prices for menu items, catering services, gift cards, and other products or services offered through our Site are displayed in United States Dollars (USD) and are subject to applicable federal, state, and local taxes. We reserve the right to change prices at any time without prior notice, provided that such changes will not affect orders that have already been confirmed and paid for.
5.2 Payment Methods
We accept major credit and debit cards (Visa, Mastercard, American Express, Discover), and may accept other payment methods as indicated on the Site, including digital wallets and gift cards. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge the applicable amount to that payment method.

Refund and cancellation policies vary by order type and location. In general, once a food order is confirmed and preparation has begun, cancellations may not be possible. 6.1 As-Is Basis

6.2 Accuracy of Information
While we strive to provide accurate and up-to-date information on our Site, we do not warrant that the content on the Site is accurate, complete, current, reliable, or error-free. Menu items, prices, nutritional information, hours of operation, and availability are subject to change without notice. We disclaim any obligation to update or correct information on the Site.
6.3 Allergen and Nutritional Information
We make reasonable efforts to provide allergen and nutritional information for our menu items. However, our kitchen handles common allergens including but not limited to gluten, dairy, nuts, eggs, shellfish, and soy. We cannot guarantee that any menu item is completely free of allergens. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL CHUYS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, EVEN IF CHUYS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, CHUYS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO CHUYS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. To the extent such exclusions or limitations are not permitted by applicable law, some or all of the above limitations may not apply to you, and you may have additional legal rights.
Nothing in these Terms shall limit or exclude liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited by applicable law.
8. Indemnification
You agree to defend, indemnify, and hold harmless Chuys and its officers, directors, employees, agents, contractors, licensors, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your access to or use of the Site or Services;
- Your violation of these Terms or any applicable law or regulation;
- Your violation of any third-party rights, including intellectual property rights or privacy rights;
- Any User Content you submit, post, or transmit through the Site;
- Any misrepresentation made by you;
- Your negligence, willful misconduct, or fraudulent conduct.
Chuys reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter without our prior written consent. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
9. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Chuys is registered and operates, without regard to any conflict of law provisions that would require the application of the laws of any other jurisdiction.
To the extent any disputes are not resolved through arbitration as described in Section 10, you and Chuys consent to the exclusive personal jurisdiction of the federal and state courts located in the United States. You waive any objection to jurisdiction or venue in such courts.
These Terms are subject to and incorporate applicable federal laws and regulations, including but not limited to:
- The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing consumer protection and unfair business practices;
- The Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.);
- The Computer Fraud and Abuse Act (18 U.S.C. § 1030);
- The CAN-SPAM Act (15 U.S.C. § 7701 et seq.) governing commercial email communications;
- The Americans with Disabilities Act (42 U.S.C. § 12101 et seq.) to the extent applicable to digital accessibility;
- Applicable state consumer protection statutes and food service regulations.
10. Dispute Resolution
10.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services informally by contacting Chuys at [email protected]. We will make good faith efforts to resolve the dispute within thirty (30) days of receipt of your written notice describing the nature of the dispute and your desired resolution. If we are unable to resolve the dispute informally within such period, either party may proceed with formal dispute resolution as described below.
10.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except for claims that qualify for small claims court, you and Chuys agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of the Services, shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except as modified herein. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding, subject only to those grounds for review specified by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).
10.3 Class Action Waiver
YOU AND CHUYS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. Further, unless both you and Chuys agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
10.4 Exceptions
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Claims that qualify for small claims court may also be brought in small claims court without arbitration.
11. Term and Termination
11.1 Duration
These Terms shall remain in full force and effect for as long as you access or use the Site or Services. These Terms will continue to apply unless and until either you or Chuys terminates them as described herein.
11.2 Termination by You
You may terminate your relationship with Chuys under these Terms at any time by discontinuing use of the Site and Services and, if applicable, deleting your account. You may request account deletion by contacting us at [email protected].
11.3 Termination by Chuys
Chuys reserves the right to suspend or terminate your access to the Site and Services, in whole or in part, at any time and for any reason, including but not limited to:
- Your breach or violation of any provision of these Terms;
- Our determination that your use poses a risk to us, other users, or third parties;
- Requests by law enforcement or government agencies;
- Extended periods of inactivity;
- Our decision to discontinue the Site or Services.
We may, but are not obligated to, provide you with notice prior to suspension or termination. Upon termination, your right to use the Site and Services will immediately cease, and you must promptly cease all use of the Site.
11.4 Effect of Termination
Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitation of liability, indemnification, and dispute resolution provisions. Termination shall not relieve either party of obligations arising prior to termination.

No failure or delay by Chuys in exercising any right or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any other or further exercise thereof or the exercise of any other right or remedy. All waivers must be in writing to be effective.
14. Additional Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and Chuys with respect to your use of the Site and Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
14.2 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. Chuys may freely assign or transfer its rights and obligations under these Terms without restriction. These Terms will bind and inure to the benefit of the parties and their respective permitted successors and assigns.
14.3 Force Majeure
Chuys shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by, directly or indirectly, forces beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, government orders or restrictions, labor disputes, power failures, internet or telecommunications disruptions, cyberattacks, or acts of war or terrorism. In such events, we will use commercially reasonable efforts to mitigate the impact and resume normal operations as soon as practicable.
14.4 Electronic Communications
By using our Site and Services, you consent to receive electronic communications from us, including notices, agreements, disclosures, and other communications. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing. 14.6 No Third-Party Beneficiaries
These Terms do not and are not intended to confer any rights or remedies upon any third party, except as otherwise expressly provided herein. Nothing herein shall create or imply any relationship of agency, partnership, joint venture, employment, or franchisee-franchisor between you and Chuys.
